1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of Yeoota, a platform operated by Ewan Byte Pvt. Ltd. ("we," "us," or "our"), including our mobile application and website at https://yeoota.com.

By registering an account, accessing, or using Yeoota, you confirm that you have read, understood, and agreed to these Terms. If you do not agree to any part of these Terms, you must not use our platform.

We reserve the right to update these Terms at any time. Continued use of Yeoota after any changes constitutes your acceptance of the updated Terms.

2. Eligibility

To use Yeoota, you must:

  • Be at least 13 years of age (or the minimum legal age in your jurisdiction)
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using our services under applicable law

By using Yeoota, you represent and warrant that you meet all eligibility requirements.

3. Description of Services

3.1 Business Listings

Yeoota allows business owners to list their businesses, products, and services on the platform. Users can browse, discover, and contact businesses through the platform.

3.2 Online Ordering

Users may place orders for products from listed businesses through the platform. Order fulfillment is the sole responsibility of the respective business. Yeoota acts as an intermediary facilitating the transaction.

3.3 Service Booking

Users may book services offered by listed service providers. Appointments, schedules, and service delivery are managed between the user and the service provider. Yeoota is not a party to the service agreement.

3.4 Web and Mobile Access

Yeoota is available on both web (via browser) and mobile application. Features may vary across platforms.

4. User Accounts

To access certain features of Yeoota, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account password
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are found to be fraudulent.

5. Business Owner Responsibilities

If you register as a business owner on Yeoota, you additionally agree to:

  • Provide accurate and truthful business information, including name, address, contact details, and operating hours
  • Keep your business listing up to date
  • Honor all orders and bookings accepted through the platform
  • Comply with all applicable local, national, and international laws, including consumer protection laws of Nepal
  • Not engage in deceptive or misleading business practices
  • Promptly resolve disputes with customers in good faith

Ewan Byte Pvt. Ltd. reserves the right to remove or suspend any business listing that violates these Terms or receives consistent negative feedback indicating fraudulent or harmful practices.

6. Prohibited Conduct

You agree not to use Yeoota to:

  • Violate any applicable law or regulation in Nepal or any other jurisdiction
  • Post false, misleading, or fraudulent business listings, reviews, or content
  • Impersonate any person, business, or entity
  • Engage in unauthorized data scraping, harvesting, or automated access
  • Transmit malware, viruses, or other harmful code
  • Interfere with or disrupt the integrity or performance of the platform
  • Collect personal information of other users without consent
  • Use the platform for spamming or unsolicited commercial communications
  • Engage in any activity that infringes the intellectual property rights of others

7. Orders, Bookings, and Payments

Yeoota facilitates transactions between users and businesses. Unless explicitly stated otherwise:

  • Yeoota is not responsible for the quality, safety, legality, or availability of products or services listed by businesses.
  • All prices displayed are set by the respective businesses and may be subject to change.
  • Payment terms, refund policies, and cancellation policies are defined by the individual business.
  • Users should review each business's policies before placing an order or booking a service.

In the event of a dispute between a user and a business, Yeoota may assist in facilitating communication but is not obligated to resolve the dispute or provide refunds.

8. User-Generated Content

You may submit reviews, ratings, comments, and other content on Yeoota. By submitting content, you:

  • Grant Yeoota a non-exclusive, royalty-free, worldwide license to use, display, and distribute your content on the platform
  • Represent that your content is truthful and does not infringe any third-party rights
  • Agree not to post offensive, defamatory, or illegal content

We reserve the right to remove any content that violates these Terms or our community guidelines, without prior notice.

9. Local Storage and Session Data

Yeoota uses browser local storage and session storage to deliver core functionality, including:

  • Maintaining your login session and authentication state.
  • Storing your cart and browsing preferences.
  • Remembering recently viewed listings and settings.

By using Yeoota on web or mobile, you consent to our use of local and session storage as described in our Privacy Policy. You can clear this data through your browser or device settings; doing so may affect functionality.

10. Analytics and Tracking

We use Google Analytics to collect anonymized data about how users interact with our platform. This helps us improve our services. By using Yeoota, you consent to the collection of such data.

11. Intellectual Property

All content, features, and functionality of Yeoota, including the name, logo, design, software, text, and graphics are the exclusive property of Ewan Byte Pvt. Ltd. and are protected under applicable intellectual property laws.

You may not copy, reproduce, modify, distribute, or create derivative works of any part of Yeoota without our prior written consent.

Business owners retain ownership of the content they upload (logos, photos, descriptions), but grant Yeoota a license to display such content on the platform.

12. Disclaimer of Warranties

Yeoota is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that:

  • The platform will be uninterrupted, error-free, or secure at all times
  • The information on the platform is accurate, complete, or current
  • Products or services offered by listed businesses meet your expectations

To the fullest extent permitted by law, Ewan Byte Pvt. Ltd. disclaims all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Ewan Byte Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use Yeoota, including:

  • Loss of data, revenue, or profits
  • Fraudulent or unauthorized transactions between users and businesses
  • Service interruptions or technical failures
  • Actions or omissions of third-party businesses listed on the platform

Our total liability to you for any claim arising out of these Terms or your use of Yeoota shall not exceed the amount you paid us in the 30 days preceding the claim, if any.

14. Indemnification

You agree to defend, indemnify, and hold harmless Ewan Byte Pvt. Ltd. and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising out of your use of Yeoota, your violation of these Terms, or your infringement of any rights of another party.

15. Termination

We reserve the right to suspend or terminate your access to Yeoota at any time, with or without cause or notice, including if we believe you have violated these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive termination will remain in effect.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Nepal. Any disputes arising out of or relating to these Terms or your use of Yeoota shall first be attempted to be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved informally, it shall be subject to the jurisdiction of the competent courts located in Rupandehi, Nepal.

17. Third-Party Services and Links

Yeoota may integrate with or link to third-party services (including payment processors and Google Analytics). We are not responsible for the practices or content of these third parties. Your use of third-party services is subject to their respective terms and privacy policies.

18. Force Majeure

Yeoota and Ewan Byte Pvt. Ltd. shall not be liable for any delay or failure to perform due to causes beyond our reasonable control, including natural disasters, internet outages, government actions, or other force majeure events.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ewan Byte Pvt. Ltd. with respect to your use of Yeoota, superseding all prior agreements or understandings.
